1. Who we are and how these Terms work

These Terms of Service (the “Terms”) are a binding agreement between EFFICIO MARKETING LLC, an Ohio limited liability company, operating the Efficio platform (“Efficio,” “we,” “us,” or “our”), and the person or business that creates an account, completes onboarding, accepts these Terms, or is authorized to access or use an Efficio account or dashboard for a business (“you” or the “Owner”). A person who merely visits or interacts with a Published Site or Efficio’s public platform website is a Visitor, not an Owner, and does not accept these Terms merely by doing so. Separate Published Site Visitor Terms may govern a Visitor’s use of Efficio-provided site functionality.

The Platform is Efficio’s digital marketing platform for creating, hosting, managing, optimizing, measuring, and supporting business websites built for search visibility, AI-search visibility, and conversion.EFFICIO MARKETING LLC is the service provider, contracting party, data custodian for Efficio-controlled data, payment recipient or merchant beneficiary, and policy enforcer for the Platform. No individual founder, member, manager, owner, employee, contractor, creator, agent, or representative of Efficio is a party to these Terms in an individual capacity.

If you accept these Terms for a company, organization, agency client, or other legal entity, you represent that you have authority to bind that entity. If you do not have that authority, or if you do not agree to these Terms, you must not use the Platform. You must be at least 18 years old and capable of entering into a binding contract.

These Terms incorporate the Content Policy. The Privacy Policy explains how Efficio handles personal data and is provided separately as a notice. The Data Processing Addendum applies when Efficio processes Customer Personal Data for you. Additional written order forms, invoices, checkout terms, administrator-approved billing settings, or product-specific terms may also apply. If there is a conflict, the Data Processing Addendum controls for Customer Personal Data, an accepted order or checkout controls for its pricing and commercial terms, and the more specific written agreement controls for its other subject matter.

2. Key definitions

For clarity, these Terms use the following meanings:

  • Platformmeans Efficio’s software, dashboards, public platform website, website generator, editor, hosting and domain features, lead capture tools, billing tools, analytics, support, APIs, workers, legal and help pages, and related services.
  • Published Site means a business website created, hosted, edited, or published through the Platform, including any site served on an Efficio domain, a platform subdomain, or a custom domain.
  • Visitormeans a person who visits a Published Site or Efficio’s public platform website.
  • Lead means a Visitor interaction captured through the Platform, including form submissions, appointment requests, chat messages, quick-contact submissions, direct CTA Interactions, connected Confirmed Calls, and similar conversion events.
  • Qualified Lead or Billable Lead means a Lead source that is configured by Efficio as billable for your site or subscription at the time the Lead is captured, subject to any minimum-duration rule, deduplication rule, free allowance, spam-review decision, voiding, waiver, credit, or other billing adjustment.
  • CTA Interaction means a direct call-to-action action, such as clicking a call, booking, order, email, external link, or similar site action. CTA Interactions may be recorded for analytics even when the Visitor does not submit contact details.
  • Call Confirmation, also called call tracking, means the same Platform functionality through which Efficio may use a forwarding or tracking number to route a Visitor’s call to your public business phone and collect call metadata. A Confirmed Call, also called a tracked call, means a call processed through that functionality. These paired labels refer to the same feature and call type; the wording used does not change how calls are routed, measured, qualified, or billed.
  • Owner Content means business information, text, images, logos, reviews, URLs, contact details, service details, team information, pricing, availability, uploaded files, source-link material, and other material you provide, authorize us to collect, upload, import, publish, or make available through the Platform.
  • Generated Content means website drafts, copy, structure, SEO metadata, recommendations, reports, image references, content revisions, and other output generated or suggested by the Platform, including output produced with artificial intelligence or automated optimization logic.
  • Customer Data means Owner Content, Customer Personal Data, account and configuration data, and other information submitted to or collected through the Platform for your organization. It excludes Platform software, deidentified or aggregated information, and data for which Efficio independently determines the purposes and means as described in the Privacy Policy.
  • Efficio Parties means Efficio and its members, managers, officers, employees, contractors, agents, affiliates, suppliers, licensors, successors, and assigns.
  • Third-Party Services means services not owned by Efficio that help operate the Platform, including Vercel, Supabase, Stripe, Telnyx, Google Workspace, SMTP or email providers, OpenAI or other AI providers, Sentry or other observability providers, DNS providers, browser or crawler infrastructure, and any external booking, ordering, email, payment, analytics, review, map, profile, or social platforms you connect or link.

3. Accounts, organizations, and authorized users

You must provide accurate account, business, billing, tax, and contact information and keep it current. You are responsible for protecting credentials, maintaining authorized access to your email and domains, and all actions taken through your account or organization. You must promptly notify us at legal@effic.io of unauthorized use, suspected compromise, or an incorrect account role.

Organization owners and administrators may invite users, assign roles, change business settings, publish content, manage billing, report leads as spam, connect domains, request support, and otherwise act for the organization. You are responsible for your invited users and for ensuring they are authorized to access Visitor data, billing information, Owner Content, Generated Content, and operational controls.

An electronic acceptance, checkout authorization, publication approval, configuration change, or other action taken through an authenticated account is attributable to the organization to the extent the acting user had actual or apparent authority. You must keep roles current and promptly remove access that is no longer authorized. Efficio may rely on its account, version, timestamp, authorization, billing, and audit records as evidence of an action, subject to any contrary evidence and non-waivable law.

4. Website creation, drafts, review, and publishing

Efficio may create a draft business website from the information you provide and from a source link you submit. A source link may point to your existing website or, if this is the first website for your business, to a business profile on another platform or a page with search results related to your business. By submitting a source link, you direct and authorize Efficio to access, capture, crawl, fetch, render, extract, process, summarize, transform, store, and use content from the linked page or site and associated publicly reachable pages to create, support, secure, and improve your website.

If your business already has a website and you choose to provide a source link, you must provide the link to that existing website. Before submitting any source link, you must make sure that its content is relevant to your business, is up to date to the best of your knowledge, and is content you have the necessary permissions and legal rights to use for this purpose. You represent and warrant that you are authorized to act for the identified business and to direct Efficio’s collection and use of the source material. A page being publicly accessible, appearing in search results, or being hosted on a third-party profile platform does not by itself grant permission to copy or use its content.

Drafts, AI-generated copy, optimization suggestions, structured data, SEO metadata, AI-search resources, service pages, blog posts, FAQs, reviews, pricing, locations, images, credentials, offers, and other Generated Content may be inaccurate, incomplete, outdated, duplicative, biased, unlawful for your industry, or unsuitable for your business. You are solely responsible for reviewing and approving every draft, factual statement, claim, image, link, review, testimonial, offer, credential, price, location, availability slot, and regulated statement before publication and after any later update.

A site is not intended to be public until it is published. Once you publish a site or content update, Visitors, search engines, AI crawlers, caches, archives, and other third parties may access, index, quote, save, or share it. We may provide sitemaps, structured data, machine-readable site summaries, and similar search or AI-search resources for Published Sites, but we do not control how third parties crawl, rank, display, use, or retain your content.

5. Owner responsibilities and regulated businesses

You are responsible for your business, your Published Site, your goods and services, your compliance with all laws and industry rules, and all communications with Visitors and customers. You must maintain required licenses, registrations, permits, insurance, professional approvals, disclosures, disclaimers, accessibility obligations, tax registrations, consumer notices, privacy notices, cookie or tracking notices, consent mechanisms, opt-out mechanisms, advertising substantiation, and records.

Regulated or sensitive industries, including medical, wellness, health, legal, financial, insurance, tax, real-estate, emergency, child-related, age-restricted, food, alcohol, cannabis, gambling, transportation, and professional services, may use the Platform only if they can lawfully market and provide their services and can review the site for industry-specific requirements. Efficio does not provide medical, legal, financial, tax, professional, emergency, or regulated-industry advice, and the Platform must not be used as a substitute for qualified professional judgment.

You are responsible for marketing, telemarketing, email, SMS, call-recording, do-not-call, endorsement, testimonial, online-review, consumer-protection, accessibility, privacy, and data-protection compliance related to your business and your follow-up with Visitors. Efficio does not promise that a site, message, call, email, review display, or lead workflow is compliant for your jurisdiction, industry, or use case.

Unless Efficio expressly approves the use in a separate written agreement completed before collection, you must not use the Platform as a HIPAA-regulated system, a consumer-health data service, a child-directed service, an emergency or crisis service, a payment-card or financial-credential repository, a biometric identification system, or a system for collecting precise GPS or device location, government identifiers, or other specially regulated data. The Data Processing Addendum is not a HIPAA business associate agreement. Incidental or unsolicited submission of regulated data does not expand the Platform’s supported scope or create an agreement by Efficio to provide regulated infrastructure.

If you learn that unsupported regulated data was submitted, you must stop using it through the Platform, avoid sending it to optional AI or marketing tools, take reasonable steps available to you to restrict or delete it, and notify Efficio where assistance, preservation, or legal review may be required. Nothing in these Terms authorizes either party to ignore a legal preservation, reporting, safety, or breach-notification duty.

6. Content rights, source-link imports, and image imports

You retain ownership of Owner Content. You grant Efficio a worldwide, non-exclusive, royalty-free, sublicensable license to host, copy, crawl, fetch, import, rehost, resize, convert, strip metadata from, store, cache, display, publish, adapt, analyze, generate from, create derivative works from, and otherwise process Owner Content as needed to operate, secure, support, bill for, improve, and enforce the Platform and your Published Site. Efficio may use Owner Content to promote the Platform only when you have made the content public through a Published Site or separately authorize that promotional use; this permission does not extend to non-public Customer Personal Data.

You are responsible for Owner Content and any personal data you submit or direct Efficio to collect, import, process, publish, or display. You represent and warrant that you have provided all required notices, satisfied all applicable lawful-basis requirements, and obtained all rights, licenses, releases, permissions, consents, and substantiation necessary for Efficio to process and publicly display that material at your direction. This includes names, photographs, likenesses, contact details, team information, testimonials, customer reviews, and other personal data concerning customers, reviewers, employees, team members, or other individuals.

This responsibility applies when you provide a source link to an existing website, business profile, search results page, or other page or site; upload an image; paste an image URL; add a Google or other review; add a logo; provide a testimonial; add team or customer information; or approve imported content. Imported images may be copied into platform storage and served publicly from a Platform storage URL. You are responsible for confirming that collecting, copying, rehosting, editing, processing, publishing, and displaying those materials and personal data is lawful.

To the extent Efficio owns any rights in Generated Content created specifically for your Published Site, Efficio grants you a non-exclusive right to use that Generated Content on your Published Site while you are permitted to use the Platform. This does not transfer ownership of the Platform, templates, themes, software, systems, workflows, models, prompts, style rules, generic ideas, know-how, or pre-existing materials, and it does not give you rights that Efficio or you do not have in third-party or source materials.

Generated Content may not be unique, and the Platform or a third-party model may produce similar material for other users. Efficio does not represent that Generated Content is protectable, owned exclusively by you, non-infringing, or suitable for registration or use in every jurisdiction. You are responsible for human review, clearance, substantiation, and any edits needed before use.

Efficio will treat non-public Customer Data as confidential and use or disclose it only to provide, secure, support, bill for, improve, and enforce the Platform; follow your lawful instructions; work with service providers; or comply with law and protect rights or safety. Confidentiality does not apply to information that is public without breach, independently developed without use of the confidential information, rightfully received without confidentiality restriction, or approved for disclosure.

If you provide suggestions, evaluations, or other feedback about the Platform, you grant Efficio a perpetual, worldwide, royalty-free right to use it without identifying you or disclosing your confidential information. Efficio may use aggregated or deidentified information to operate, secure, understand, and improve the Platform, provided it does not attempt to reidentify information that applicable law requires to remain deidentified. Pseudonymized information remains personal data where applicable law treats it as such.

7. Platform intellectual property

Efficio and its licensors own the Platform, including software, code, interfaces, design systems, themes, components, templates, workflows, data schemas, optimization logic, reports, documentation, trademarks, service marks, and non-customer content. Subject to these Terms, Efficio grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for your internal business marketing purposes during your active account or subscription.

You may not copy, frame, resell, lease, sublicense, reverse engineer, scrape, interfere with, bypass access controls for, or create a competing service from the Platform except as allowed by law. Published Sites may include a “Provided by Efficio” attribution and legal or privacy links. You may not remove or obscure attribution unless Efficio agrees in writing.

8. Leads, CTA Interactions, Call Confirmation, and owner follow-up

The Platform is designed to capture conversion events. Leads may include contact form entries, appointment requests, chat messages, quick-contact submissions, direct CTA Interactions, connected Confirmed Calls, page paths, UTM parameters, referrers, browser metadata, hashed IP signals, geolocation headers supplied by infrastructure providers, and other metadata described in the Privacy Policy.

Direct CTA Interactions are analytics-only by default unless a source is configured with a billable price for your site or subscription. They may still be recorded, deduplicated, displayed in analytics or billing surfaces, used to detect routing or conversion issues, and used to improve the Platform. Efficio may configure direct CTA Interactions as billable prospectively only through disclosed pricing, an order form, checkout, admin-approved billing setting, or other written notice or agreement.

Selecting or retaining an enabled Call CTA, accepting a written call-tracking setting, or otherwise expressly enabling Call Confirmation authorizes Efficio and its telephony provider to provision a forwarding or tracking number for your site, route calls to your business phone, and process call metadata. A connected Confirmed Call may create a distinct phone_call Lead only when Platform rules indicate that the call qualified, such as the call being answered, meeting the configured minimum billable duration, passing per-caller deduplication, and satisfying published-site and spam-review rules. Call Confirmation is not an emergency calling service, call center, guarantee of call delivery, or substitute for your own phone systems, and it is not intended to record call audio.

Forwarding and tracking numbers are provider-controlled resources, are not your permanent business numbers, may not be portable, and may be reassigned, reclaimed, suspended, or released when the feature is disabled, your service ends, payment fails, provider rules require it, or continued use creates risk. You must maintain an independent public business number and promptly verify routing changes. Any port request is subject to applicable law, carrier rules, technical eligibility, provider cooperation, and account standing. Efficio does not guarantee number availability, geographic coverage, caller-name information, delivery, portability, or retention after termination.

You are responsible for reviewing your lead inbox and analytics, responding to Visitors, honoring appointment and availability commitments, complying with marketing, telemarketing, email, SMS, call-recording, privacy, consent, and recordkeeping laws, and determining whether a Lead is useful, spam, duplicate, fraudulent, accidental, or otherwise actionable. Efficio does not guarantee the identity, intent, quality, purchase readiness, lawfulness, or commercial value of any Visitor or Lead.

9. Pay-per-lead billing, subscriptions, and payment authorization

Efficio may bill on a pay-per-qualified-lead basis, through subscriptions, usage-based meter events, setup fees, managed-service fees, or other pricing shown in the Platform, checkout, order form, invoice, or written agreement. Fees are owed to EFFICIO MARKETING LLC, though Stripe or another payment processor may collect, process, invoice, or remit payments on Efficio’s behalf.

Paid service begins only when an organization owner or administrator affirmatively accepts a displayed checkout, order form, billing authorization, or other written offer that identifies the applicable price, billing unit, recurring or usage-based nature, billable sources, allowances, effective date, cancellation method, and other material commercial terms. Merely creating an account, adding a payment method, using free functionality, publishing a site, approving an unpaid draft, or continuing to use unpriced functionality does not by itself authorize a charge.

A Lead source is billable only when Efficio has configured that source with a billable price for your site or subscription. Lead sources without a configured price are analytics-only unless and until pricing is changed prospectively. Configured billable sources may include form submissions, inline contact requests, chat messages, appointment requests, connected Confirmed Calls, or other sources identified in pricing settings. Stripe invoices, meter records, payment-provider records, the accepted offer, and Efficio billing records may be used to determine amounts due, subject to correction of errors, applicable law, and any adjustment Efficio approves.

By affirmatively accepting the applicable offer, you authorize Efficio and its payment processors to charge the payment method associated with your account for the subscriptions, usage, taxes, and other amounts described in that offer. The accepted offer controls over these general Terms for price, billing unit, billable sources, allowances, renewal, effective date, and cancellation. Fees are exclusive of taxes unless stated otherwise. You are responsible for sales, use, VAT, GST, withholding, and similar taxes, except taxes on Efficio’s net income.

Efficio may update prices, billable sources, lead tiers, free allowances, and subscription terms prospectively after reasonable notice and, where required by the accepted offer or applicable law, renewed affirmative authorization. A materially different price or billable source will not be applied retroactively. If you do not accept a prospective change, you may cancel paid service or disable the affected feature before it takes effect. Unless a written agreement says otherwise, fees are non-refundable and non-creditable except where required by law or where Efficio determines that a credit, waiver, or refund is appropriate.

10. Free trials, allowances, spam review, and billing adjustments

Efficio may grant free trials, free lead counts, free-through dates, billing-off periods, credits, or other allowances on a website-by-website basis. These allowances are discretionary, may be administered by platform admins, may be changed or ended prospectively, and apply only as reflected in the Platform or in written communications from Efficio. Leads covered by an allowance may still be counted for product analytics and may appear in your dashboard.

You may report a Lead as spam through the dashboard where that feature is available. Reporting a Lead as spam does not automatically void a charge, waive an invoice, or prove that the Lead is invalid. It places the Lead in review and may hold pending usage from being reported to Stripe until an Efficio platform admin reviews it. Efficio admins have final authority to decide whether a reported Lead is spam, not spam, voided, restored, waived, credited, refunded, or otherwise adjusted.

If an admin confirms spam before the Lead is reported to Stripe, the pending billable event may be voided. If an admin determines that a Lead is not spam, the Lead may be restored to billable status and reported to Stripe if otherwise eligible. Already-reported meter events, closed invoice periods, failed syncs, payment disputes, and third-party billing limitations may require manual reconciliation rather than automatic reversal.

11. Payment failures, cancellation, and site availability

If payment fails, your subscription is incomplete, past due, canceled, unpaid, disputed, charged back, or otherwise not in good standing, Efficio may restrict access, pause generation, block publishing, suspend a Published Site, stop lead capture, remove custom domains, disable integrations, or terminate service. You remain responsible for amounts incurred before suspension, cancellation, or termination.

You may cancel through the Stripe billing portal or another method Efficio makes available. Cancellation stops future use according to the applicable billing terms but does not automatically refund prior charges, remove already-incurred usage, or delete records that Efficio must keep for legal, tax, security, billing, dispute, or operational reasons.

12. Third-Party Services and external links

The Platform depends on Third-Party Services. Your use of those services may be subject to separate terms, privacy policies, service limitations, fees, outages, geographic restrictions, data processing rules, and provider enforcement actions. Efficio is not responsible for Third-Party Services, including payment processing, database or hosting outages, email delivery failures, Telnyx call routing or number availability, AI provider output, search engine behavior, social media platforms, DNS providers, or external booking, ordering, map, review, profile, or payment links you add to your site.

You authorize Efficio to share data with Third-Party Services as described in the Privacy Policy and as needed to operate the Platform. If you connect or link an external booking, ordering, payment, calendar, review, or social platform, you are responsible for that integration and for ensuring the linked destination is lawful, accurate, secure, and appropriate for Visitors.

13. Privacy and data protection

The Privacy Policy explains how Efficio collects and uses personal data. For Visitor Lead data captured on your Published Site, you are the controller, business, or equivalent decision-maker, and Efficio processes that data as your processor, service provider, contractor, or equivalent role, except where Efficio uses data for its own security, billing, legal compliance, service improvement, fraud prevention, abuse prevention, or other independent business purposes described in the Privacy Policy.

The Data Processing Addendum forms part of these Terms for Customer Personal Data. Your configuration, use of Platform features, and lawful written support requests are documented processing instructions. You remain responsible for identifying your business and privacy contact, explaining the categories and purposes of your collection, providing privacy, cookie, Call Confirmation, and other notices, establishing legal bases, obtaining consents, honoring opt-outs, and responding to Visitor rights as applicable to your business. Efficio’s Privacy Policy supplements but does not replace your own legally required notice.

You must promptly forward to Efficio any verified request, regulator inquiry, preservation instruction, or security matter for which you reasonably need Efficio’s assistance. Efficio will provide the commercially reasonable assistance described in the Data Processing Addendum through capabilities and manual support then available. Neither these Terms nor the DPA represents that a self-service rights portal, automated export, cryptographic erasure, legal-hold engine, or other particular compliance workflow exists.

You must not use the Platform to collect sensitive personal data, protected health information, financial account credentials, government identifiers, children’s data, precise GPS or device location, biometric templates, or other highly regulated data unless the use is lawful, Efficio has expressly agreed in writing, and all required compliance terms and safeguards are in place before collection.

14. Acceptable use

You must not, and must not allow others to, use the Platform to:

  • violate any law, regulation, third-party right, contract, privacy obligation, or industry rule;
  • publish content prohibited by the Content Policy;
  • mislead Visitors, impersonate others, create fake reviews, or make unsubstantiated claims;
  • send spam, unlawful marketing, unauthorized calls or texts, or unauthorized communications;
  • upload malware, phishing content, exploit code, harmful files, or illegal material;
  • probe, scan, overload, interfere with, bypass, or compromise the Platform or Third-Party Services;
  • scrape, harvest, or misuse personal data from Visitors, owners, or other tenants;
  • use the Platform to build, train, or improve a competing product without written permission;
  • avoid billing, manipulate lead tracking, submit fraudulent spam reports, or abuse free allowances; or
  • misrepresent your business, credentials, location, emergency availability, prices, reviews, or results.

15. Suspension, takedown, and termination

Efficio may investigate, refuse, remove, disable, unpublish, suspend, throttle, restrict, or delete any account, site, Lead, content, domain, integration, tracking number, payment method, or feature if we believe it violates these Terms, the Content Policy, the Privacy Policy, law, third-party rights, payment obligations, platform security, provider rules, or the rights or safety of Visitors, owners, Efficio, or others. We may act immediately where we believe delay could create legal, security, operational, financial, consumer-protection, or reputational risk.

You may stop using the Platform at any time. Efficio may terminate these Terms or your access if you breach them, fail to pay, create risk, or discontinue your business relationship with Efficio. Upon termination, your Published Site may be taken offline, your access may stop, and your content may be deleted or retained according to the Privacy Policy, legal requirements, and operational backup practices.

Platform-admin deletion of a site may permanently remove the site, organization, content, leads, domains, subscriptions, jobs, recommendations, assets, memberships, invitations, and owner accounts whose only organization was the deleted one. You are responsible for exporting or saving anything you need before deletion where export tools are available.

16. Disclaimers

The Platform, Published Sites, Generated Content, recommendations, lead tracking, Call Confirmation, analytics, reports, crawler results, third-party integrations, and support are provided “as is” and “as available.” To the maximum extent permitted by law, the Efficio Parties disclaim all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, security, compliance, and course of dealing.

The Efficio Parties do not warrant that the Platform will be uninterrupted, error-free, secure, compliant for your industry, compatible with every browser or provider, free from data loss, or that it will produce any specific traffic, ranking, AI citation, lead volume, call volume, conversion rate, revenue, appointment, customer, review, or business result. You use Generated Content, SEO suggestions, AI-search features, recommendations, Call Confirmation, and lead workflows at your own risk and after your own review.

17. Limitation of liability

To the maximum extent permitted by law, the Efficio Parties will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, lost profits, lost revenue, lost data, lost goodwill, business interruption, substitute services, reputational harm, search ranking changes, AI-search treatment, third-party platform actions, call delivery failures, missed calls, or lost opportunities, even if advised of the possibility.

To the maximum extent permitted by law, the aggregate liability of all Efficio Parties for all claims arising out of or relating to the Platform, Published Sites, these Terms, or related services will not exceed the greater of (a) the amounts you paid to Efficio for the affected site during the three months before the event giving rise to the claim, or (b) USD $100. The cap applies collectively, not separately to each claim or Efficio Party, regardless of the theory of liability and even if a remedy fails of its essential purpose.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, the limitations apply to the fullest extent permitted by law. Nothing in these Terms excludes or limits liability, rights, remedies, or regulatory authority that applicable law does not permit the parties to exclude or limit.

18. Indemnification

You will defend, indemnify, and hold harmless the Efficio Parties from and against third-party claims, demands, actions, investigations, liabilities, damages, losses, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: your business; your account users; Owner Content; Generated Content you approve, publish, or use; your Published Site; your products or services; Visitor communications; your spam reports; your use of Third-Party Services; your violation of these Terms or the Content Policy; your violation of law or third-party rights; or an allegation that content you provided, imported, uploaded, approved, or published infringes, misappropriates, defames, deceives, harms, or violates privacy, publicity, consumer protection, professional, telemarketing, endorsement, review, or other rights.

Efficio will give reasonably prompt notice of an indemnified claim, subject to your obligation being reduced only to the extent delay materially prejudices the defense. You may control the defense with qualified counsel reasonably acceptable to Efficio, and Efficio will provide reasonable cooperation at your expense. You may not settle a claim in a way that admits fault by an Efficio Party, imposes a non-monetary obligation, restricts the Platform, or fails to provide a complete release without Efficio’s prior written consent, not to be unreasonably withheld. Efficio may participate with its own counsel at its own expense. Your obligation does not apply to the extent a final determination attributes the claim to an Efficio Party’s unlawful conduct.

19. Copyright complaints and repeat infringers

EFFICIO MARKETING LLCrespects intellectual property rights and may remove or disable allegedly infringing content. Copyright notices should be sent to Efficio’s designated agent:

A notice should include the information required by 17 U.S.C. Section 512(c)(3), including identification of the copyrighted work, the allegedly infringing material and its location, contact information, a good-faith statement, an accuracy and authority statement made under penalty of perjury, and a physical or electronic signature. We may forward notices to the affected Owner and may terminate accounts or sites of repeat infringers in appropriate circumstances. Counter-notices should include the information required by 17 U.S.C. Section 512(g)(3).

20. Governing law, venue, and class waiver

These Terms are governed by the laws of New York, without regard to conflict-of-law rules. Before filing a formal claim, the party raising a dispute must send written notice describing the dispute and requested relief to legal@effic.io or 6708 Main Street, Cincinnati, OH 45244, United States, and the parties will try in good faith to resolve it for 30 days.

Subject to any rights or procedures that cannot be waived under applicable law, the state courts located in Kings County, New York, and, if federal jurisdiction exists, the United States District Court for the Eastern District of New York, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the Platform, billing, Leads, or Published Sites. Each party consents to personal jurisdiction and venue in those courts.

Nothing in this section limits either party’s right to bring an eligible claim in small claims court or to seek injunctive relief for intellectual property misuse, unauthorized Platform access, security abuse, or other conduct causing immediate or irreparable harm in any court of competent jurisdiction.

You and Efficio waive the right to a jury trial to the maximum extent permitted by law and agree that disputes will be conducted only on an individual basis. Neither party may bring or participate in a class, collective, consolidated, private attorney general, or representative action to the maximum extent permitted by law. If this class-action waiver is found unenforceable for a claim, that claim must proceed in court only on an individual basis unless the parties agree otherwise.

21. Changes, notices, and contact

Efficio may update these Terms from time to time. The “Last updated” date shows the current version. Non-material changes may become effective when posted. Material changes will apply prospectively after reasonable notice through the Platform, account email, a dashboard consent gate, or another reasonable channel. Efficio will request renewed affirmative acceptance where required by law, an accepted offer, or the nature of the change. Continued use may evidence acceptance only where that method is lawful and the notice clearly states the consequence. If required acceptance is not provided, Efficio may suspend the affected feature or account rather than apply the changed term.

You consent to receive account, security, legal, billing, and service notices electronically at the account email or through the Platform and must keep that contact current.

22. General terms

You may not assign or transfer these Terms, an account, or a Published Site without Efficio’s prior written consent. Efficio may assign these Terms in connection with a merger, financing, reorganization, sale of assets, change of control, or transfer of the Platform, provided the assignee assumes the applicable future obligations. No assignment retroactively releases an accrued obligation unless the affected party expressly agrees in writing.

Neither party is liable for delay caused by events beyond its reasonable control, except that this does not excuse payment obligations already incurred or duties that applicable law makes non-excusable. A failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective.

Provisions that by their nature should survive termination—including payment, ownership, confidentiality, license limits, retention, disclaimers, liability limitations, indemnity, dispute terms, and general provisions—will survive. Except for the Efficio Parties protected by the disclaimers, liability limitations, and indemnity, these Terms do not create third-party beneficiary rights.

These Terms, the incorporated Content Policy and Data Processing Addendum where applicable, and any accepted order, checkout, or other written agreement are the entire agreement about the Platform and replace prior discussions on that subject. Headings are for convenience; “including” means without limitation. Any amendment outside the update process in Section 21 must be in a writing accepted by authorized representatives of both parties.

The standard Platform offering is designed for United States-based business use and is offered only where Efficio chooses to make it available. Unless Efficio agrees otherwise in writing and the parties complete any required data-protection and transfer terms, you must not use the Platform to intentionally offer goods or services to individuals in the European Economic Area or United Kingdom or monitor their behavior there. Incidental accessibility of a Published Site outside the United States does not mean that Efficio supports or approves regulated foreign use.

You are responsible for export-control, sanctions, trade, localization, language, and accessibility obligations applicable to your business, content, users, and target markets. The parties are independent contractors; these Terms do not create a partnership, joint venture, employment, fiduciary, franchise, or agency relationship. Nothing in these Terms transfers or disclaims an obligation that applicable law places directly and non-delegably on Efficio.
